Agreement to Terms

These Terms of Service ("Terms") govern your use of getbasecare.com and the Basecare membership (together, the "Service"), operated by Basecare Health Co. ("Basecare," "we," "us"). By creating an account or using the Service, you agree to these Terms. If you don't agree, don't use the Service.

Eligibility

• You must be at least 18 years old and able to enter a binding contract.
• You must be a resident of the United States and provide accurate account information.
• Access to specific clinical services may be further limited by the state you're located in and by your clinician's independent judgment.

What Basecare Is — and Isn't

Basecare is a membership and pricing platform. It is not an insurance product, a medical provider, a clinic, or a pharmacy, and it does not practice medicine or make clinical decisions.

Clinical Services

All clinical services accessible through your membership are delivered by Altro Health, a LegitScript-certified telehealth provider, and its network of independent, board-certified, state-licensed clinicians. Those clinicians — not Basecare — evaluate you and decide, using their own independent clinical judgment, what if anything is appropriate, including whether to prescribe medication. Basecare does not guarantee that any clinician will recommend or prescribe a particular treatment.

Prescriptions, when issued, are filled by U.S.-licensed pharmacies in Altro Health's network. Your use of telehealth services is also subject to our Telehealth Consent.

Membership Plans & Billing

We offer Core (no monthly fee) and Premier (a paid monthly membership) plans, described in more detail at getbasecare.com/membership and at checkout.

• Premier renews automatically each billing period until you cancel.
• You can cancel anytime from your account portal; cancellation takes effect at the end of your current billing period.
• Membership fees are separate from, and in addition to, any charges for clinical visits, prescriptions, labs, or other services you purchase through Altro Health or its partner network. Those charges, at your member price, are disclosed to you before you're charged.
• Except where required by law, membership fees are non-refundable once a billing period has started.

The Basecare Guarantee

Certain Premier memberships may include the Basecare Guarantee described at signup, under which Basecare credits back membership fees if a member's qualifying first-year savings don't exceed the fees paid, subject to the specific terms presented to you when you join.

Your Account

• Keep your login credentials confidential and secure.
• You're responsible for activity that happens under your account.
• Tell us promptly if you suspect unauthorized use of your account.
• Provide accurate, current account information.

Acceptable Use

• Don't use the Service for any unlawful purpose or in violation of these Terms.
• Don't impersonate another person or misrepresent your affiliation with anyone.
• Don't interfere with, disrupt, or attempt to gain unauthorized access to the Service.
• Don't scrape, reverse engineer, or misuse the Service except as permitted by law.
• Don't misuse membership benefits or pricing, including by sharing an account to access member pricing you're not entitled to.

Third-Party Services

The Service links to and integrates with services operated by others, including Altro Health and its partner pharmacies and labs, and payment processing by Stripe. Those providers' own terms and privacy policies govern your use of their services. Basecare isn't responsible for services it doesn't control.

Intellectual Property

The Site's content, trademarks, and branding belong to Basecare Health Co. or its licensors. We grant you a limited, personal, non-transferable license to use the Site for your own membership use.

Disclaimers

The Service is provided "as is" and "as available," without warranties of any kind. Basecare does not warrant that clinical services will meet your expectations or that any particular treatment will be prescribed. Nothing on the Site is medical advice, and it should not be used to make medical decisions without consulting a qualified clinician.

Limitation of Liability

To the maximum extent permitted by law, Basecare will not be liable for indirect, incidental, special, or consequential damages, or for the acts or omissions of Altro Health, its clinicians, or its partner pharmacies and labs, which operate independently of Basecare. Basecare's total liability for any claim arising from the Service is limited to the membership fees you paid Basecare in the twelve months before the claim arose.

Indemnification

You agree to indemnify and hold Basecare harmless from claims, losses, and expenses arising from your misuse of the Service or violation of these Terms.

Governing Law & Disputes

These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws principles. Any dispute arising from these Terms or the Service will be brought in the state or federal courts located in Delaware, and you consent to that jurisdiction.

Termination

We may suspend or terminate your account for violating these Terms or misusing the Service. You may terminate your account at any time by canceling your membership.

Changes to These Terms

We may update these Terms from time to time. Continued use of the Service after changes take effect means you accept the updated Terms.
